1. Agreement to Terms
By accessing or using Rosterio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
2. Description of Service
Rosterio is a workforce management platform that provides tools for managing rosters, shifts, staff, time and attendance, and related workforce operations. The Service is provided by Ardorio Pty Ltd.
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are responsible for:
- All activities that occur under your account
- Maintaining the security of your account credentials
- Notifying us immediately of any unauthorized use
- Ensuring that all information provided is accurate and up-to-date
4. Subscription Plans and Payment
4.1 Subscription Plans
We offer subscription plans with different features and pricing. Details of current plans are available on our Pricing page.
4.2 Payment Terms
- Subscription fees are billed monthly or annually in advance
- Pricing is based on the number of active users in your account
- All fees are in Australian Dollars (AUD) unless otherwise stated
- Payments are processed securely through Stripe
- You authorize us to charge your payment method for all fees
4.3 Free Trial
We may offer a free trial period. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
4.4 Price Changes
We reserve the right to modify subscription fees. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.
5. Cancellation and Refunds
5.1 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
5.2 Refunds
Subscription fees are non-refundable except as required by Australian Consumer Law. We do not provide refunds for partial billing periods.
5.3 Account Deletion
Upon cancellation, your account will remain active until the end of your billing period. After that, your account and data may be deleted in accordance with our data retention policy.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate or infringe upon the rights of others
- Transmit any harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity
- Collect or harvest information about other users
- Use automated systems to access the Service without permission
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Ardorio Pty Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any data you upload to the Service. By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing the Service.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
You are responsible for ensuring that you have the right to upload and process any data you provide to the Service, including compliance with applicable data protection laws.
9. Service Availability
We strive to provide reliable service but do not guarantee that the Service will be available uninterrupted or error-free. We may perform scheduled maintenance and updates.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.
10. Limitation of Liability
To the maximum extent permitted by law, Ardorio Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Ardorio Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Any content or data you submit to the Service
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by canceling your subscription.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.
Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
15. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified.
If we are found to have breached a consumer guarantee under the Australian Consumer Law, you may be entitled to remedies including refund, replacement, or compensation for damages.
